Takeover of GFT Technologies' Annual General Meeting service expands portfolio and client base
Computershare expands its german operations

With effect from January 1, 2005 Computershare is to acquire emagine HV-Service, the Annual General Meeting service (AGM service) of GFT Technologies, thus expanding its operations and strengthening its market position in Germany. The world's leading provider of share registry services - which provides support for roughly 50 per cent of all issuers of registered shares in Germany - will expand its local portfolio and its client base through this acquisition.

Its takeover of emagine HV-Service - an established specialist for the preparation, implementation and post-processing of Annual General Meetings - will allow the globally active Computershare to offer an integrated range of services relating to share registry, investor relations and the implementation of AGMs in Germany. Particularly in the field of AGMs - the highpoint of shareholder communication each year where a smooth flow of data is crucial - synergies between the two business activities are vital. These activities include the dispatch of invitations, the registration of applications and attendance, the proxy solicitation, shareholder structure analyses and predictions of voting patterns based on previous years' results.

The large number of joint clients testifies to the demand for this combined service. It will also bring benefits for the clients of emagine HV-Service. The experts for Annual General Meetings have over ten years' experience which a large number of medium-sized companies in Germany and Switzerland and some of the major German public corporations have profited from.

A further milestone on the road to entering the German market
The acquisition of emagine HV-Service marks a further milestone in Computershare's entering of the German market. At the end of 2003, the company group headquartered in Australia had completely taken over the Deutsche Börse's share registry business, it introduced the share registry system CARE in the German market in May 2004. By end of July approximately 50 per cent of all issuers of registered shares in Germany have been transferred from Deutsche Börse's Integriertes Aktienbuch (IAB) to this new system. In February 2004, Computershare acquired the Munich-based pepper technologies AG - the specialist for Stakeholder Relationship Management, which supports companies in their management and maintenance of shareholder, client and employee relations.
